Terms of Service
These Terms govern your use of the Ingenify website and any services you engage us for. Ingenify is a brand of VKZ Studio (“Ingenify,” “we,” “us”). By using this site or engaging our services, you agree to these Terms.
1. Our services
Ingenify designs, builds, and operates custom AI and automation systems for businesses. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal or service agreement, which takes precedence over these Terms where they differ.
2. Enquiries and proposals
Information on this site, including any description of services, is for general information and is not an offer or a fixed quote. Nothing on this site creates an engagement until both parties sign a written agreement.
3. Client responsibilities
- Provide accurate information and the access needed for us to deliver the work.
- Hold the rights and permissions for any data, accounts, or systems you ask us to work with.
- Use the systems we build lawfully and in line with the terms of any third-party tools they rely on.
4. Fees and payment
Fees, payment schedule, and any ongoing retainer are set out in your service agreement. Unless agreed otherwise, invoices are due as stated in that agreement. We may pause or suspend work or services for overdue accounts after reasonable notice.
5. Intellectual property
Ownership of the systems and deliverables we create is defined in your service agreement. Unless stated otherwise there, you receive the right to use the deliverables built for your business, while Ingenify retains ownership of its pre-existing tools, frameworks, methods, and know-how used to deliver the work. You retain ownership of your own business data and content.
6. Third-party tools
Our systems often run on third-party platforms (for example automation, hosting, AI model, or communication providers). Those services are governed by their own terms, and we are not responsible for their availability, changes, or pricing. We select and configure them in good faith to serve your use case.
7. Warranties and disclaimer
We deliver our services with reasonable skill and care. Except as expressly stated in a service agreement, the website and services are provided “as is,” and we do not guarantee specific business outcomes, uninterrupted operation, or that automated systems will be error-free.
8. Limitation of liability
To the extent permitted by law, Ingenify is not liable for any indirect, incidental, or consequential losses arising from use of the website or services. Our total liability for any claim shall not exceed the fees paid to us for the services giving rise to the claim in the three months before it arose.
9. Confidentiality
Each party will protect the other’s non-public information shared during an engagement and use it only to perform or receive the services, except where disclosure is required by law.
10. Termination
Either party may end an engagement as set out in the service agreement. On termination, you will pay for work performed up to that date, and each party will return or delete the other’s confidential information on request, subject to legal retention requirements.
11. Governing law
These Terms are governed by the laws of India. The courts of Coimbatore, Tamil Nadu shall have jurisdiction, except where mandatory local law in your jurisdiction provides otherwise.
12. Changes
We may update these Terms from time to time. The “last updated” date above reflects the current version. Continued use of the site after changes are posted constitutes acceptance.
